BizSellDirect is a private equity-backed acquirer of established businesses. The Site provides general information about our acquisition approach, educational content and tools, and a means for business owners to contact us about a potential sale of their business.
2. No Professional Advice
The content on the Site — including articles, guides, calculators, and other tools — is provided for general informational purposes only. It is not, and should not be relied upon as, legal, accounting, tax, financial, investment, or other professional advice. You should consult your own qualified advisors before making decisions about selling a business or any other significant financial matter. Your use of the Site does not create any advisor, fiduciary, agency, or other professional relationship between you and BizSellDirect.
3. Valuation Tools and Estimates
The Site may offer valuation calculators or similar tools. Any valuation, range, multiple, or other output produced by such a tool is an automated, general estimate based solely on the information entered and on assumptions and third-party data. It is not an appraisal, a formal business valuation, a guarantee of value, or an offer to purchase any business. Any acquisition would be subject to separate written agreements, due diligence, and the mutual approval of the parties.
5. Information You Provide
You are responsible for the accuracy and completeness of the information you submit through the Site. You represent and warrant that you have the right to provide any information you submit — including information about a business you own or are authorized to represent — and that providing it does not violate any agreement or any third party’s rights. We will handle information you submit in accordance with our Privacy Policy. Financial metrics you provide for valuation or acquisition-inquiry purposes — such as revenue and cash flow — are expected and will be handled in accordance with our Privacy Policy. However, please do not submit proprietary trade secrets, customer lists, intellectual property, or sensitive personal information (such as Social Security numbers or financial account numbers) through the Site’s online forms.
6. Acceptable Use

10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BIZSELLDIRECT AND ITS AFFILIATES AND THEIR RESPECTIVE OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE — WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
11. Indemnification
You agree to indemnify, defend, and hold harmless BizSellDirect and its affiliates and their respective officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Site, the information you submit, or your violation of these Terms.
12. Binding Arbitration; Class Action Waiver; Governing Law
Please read this section carefully. It affects your legal rights, including your right to bring a lawsuit in court and to have disputes heard by a jury.
Governing law. These Terms, and any dispute arising out of or relating to them or the Site, are governed by the laws of the State of California, without regard to its conflict-of-laws principles.
Binding arbitration. Except for claims that qualify for small claims court, any dispute, claim, or controversy arising out of or relating to the Site or these Terms — including their formation, interpretation, breach, or termination, and the question of whether a dispute is subject to arbitration — will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect, rather than in court. The arbitration will be conducted before a single arbitrator in Orange County, California. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Class action waiver. You and BizSellDirect agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of class or representative proceeding.
30-day right to opt out. You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days after you first accept these Terms. If you opt out, or if this arbitration agreement is found not to apply, any dispute will be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts.
Severability. If any part of this Section 12 is found unenforceable, that part will be severed and the remainder will continue to apply — except that if the class action waiver is found unenforceable, this entire Section 12 will be void.
13. Changes to These Terms
We may modify these Terms at any time. The “Effective date” above indicates when they were last revised. Changes are effective when posted on this page. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
14. General
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and BizSellDirect regarding your use of the Site.
